1. Acceptance of Terms
By accessing or using Arqera's services, you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you are using Arqera on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms, and "you" refers to both you individually and that entity.
2. Description of Service
Arqera provides Arqera Workforce, the operating layer for AI workers and governed execution, including policy controls, evidence receipts, and observability ("the Service").
The Service is provided on a subscription basis with different tiers:
- Starter: Core routing and governance access
- Team: Collaboration features and approvals
- Business: Advanced policy controls and evidence exports
- Enterprise: Hybrid deployments and custom SLAs
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. Account Registration
To use Arqera, you must create an account with accurate information:
- You must be at least 16 years old to create an account
- You are responsible for maintaining account security
- You must notify us immediately of any unauthorized use
- We may suspend or terminate accounts that violate these terms
For team accounts, the account owner has administrative control over team members and data.
4. Subscription & Payment
Billing:
- Subscriptions are billed monthly or annually
- Usage is billed separately based on routed requests or tokens
- Prices are subject to change with reasonable notice
Payment:
- Payment is due at the start of each billing period
- We accept major credit cards and enterprise invoicing where available
- All payments are processed securely through our payment providers
Refunds:
- No refunds for partial months on monthly plans
- Annual plans may be eligible for prorated refunds
5. Acceptable Use
You agree NOT to use the Service to:
- Violate any laws or regulations
- Impersonate any person or entity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to our systems
- Transmit viruses, malware, or harmful code
- Engage in data mining or scraping without permission
- Use the Service for illegal or harmful purposes
- Harass, abuse, or harm other users
6. Your Content & Data
Ownership:
- You retain ownership of all content and data you upload
- We do not claim ownership of your data
Our License:
- You grant us a license to use, process, and store your data solely to provide the Service
- This license terminates when you delete your data or close your account
Data Export:
- You can export your data at any time through Settings
- Upon cancellation, you have 30 days to export your data
AI-Generated Content:
- You retain ownership of content generated through your workflows
- We do not use your data to train AI models without consent
7. Intellectual Property
Our Property:
- Arqera's platform, code, logos, and trademarks are owned by us
- You may not use our trademarks without written permission
Your Property:
- Your data and content remain your property
- You grant us a limited license to use your data as described in Section 6
Feedback:
- Any feedback or suggestions you provide may be used without obligation
- You grant us a perpetual, irrevocable license to use feedback for any purpose
8. Privacy & Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information.
By using Arqera, you agree to our data practices as described in the Privacy Policy. For users in the European Union, we process data in accordance with GDPR. For California residents, we comply with CCPA.
9. Disclaimers & Limitations
No Warranty:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
Limitation of Liability:
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM
Some jurisdictions do not allow these limitations, so they may not apply to you.
10. Termination
Termination by You:
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
Termination by Us:
- We may terminate or suspend your account for violations of these terms
- We will provide notice before termination except in cases of immediate risk
Effect of Termination:
- You will retain access to your data for 30 days after cancellation
- After 30 days, your account and all data are permanently deleted
- Surviving provisions include intellectual property, disclaimers, and limitations
11. Governing Law & Disputes
Governing Law:
- These terms are governed by the laws of the State of California, USA
- For EU users, these terms are governed by the laws of Ireland
Dispute Resolution:
- Most disputes can be resolved by contacting contact@arqera.io
- For unresolved disputes, we offer good faith resolution
- You may also pursue claims in small claims court
Class Action Waiver:
- You agree to bring claims only on an individual basis
- No class actions or representative proceedings
12. Changes to Terms
We may modify these terms at any time. We will provide notice of material changes:
- By posting the updated terms on this page
- By email for significant changes
- By displaying a notice in the platform
Your continued use after changes constitutes acceptance of the new terms. If you do not agree to the changes, you must cancel your subscription before the changes take effect.
